Terms of service

The rules that govern your use of Dark Product Factories. Beta-phase and plain language. By using the service you agree to these terms.

The service

Dark Product Factories (“dpf,” “we,” “us”) provides a guided walk from an idea or an existing system to a product in production. It consists of a command line tool and a companion called Atlas that run on your machines, online access to a curated library of helpers, and the subscription that licenses that access. The tool writes helpers into repositories you control and coordinates work done by AI tools you supply, under keys you hold. We do not receive your source code or your product record, and no bot of ours opens pull requests on your behalf.

Subscription and billing

  • The service is a flat monthly subscription, currently $35 per person per month, covering unlimited projects and repositories. An organization holds the subscription and assigns seats to the people who run the walk; seats can be reassigned. People who only view progress in Atlas do not need a seat. We will tell you before any change to what you pay.
  • Your AI tools, model subscriptions, and provider charges are yours and are not included.
  • You can cancel at any time. Cancellation takes effect at the end of the paid period.
  • When your subscription ends, online library access ends, including updates. Your repositories, the helpers already written into them, delivered tickets and instructions, and the locally installed tool and Atlas remain usable. Work that needs the online library waits until you subscribe again.
  • Failure to pay suspends online access until the account is current.

Your responsibilities

  • Own, or be legally authorized to act on, the repositories, workspaces, trackers, and other systems you register with the tool.
  • Comply with the terms and acceptable-use policies of the AI providers, trackers, and communication services you connect. You hold those keys and accounts; their rules apply to what you send them.
  • Decide what merges and what ships. The tool prescribes work and proof; the accountable person you designate, and any further roles you add, hold the authority to approve it. You retain full responsibility for code merged into your repositories and for products deployed to your systems or your customers.
  • Contribute only material you have the right to share (see Contributions below).
  • Pay your subscription on time and keep your account credentials secure.

Our responsibilities

  • Best-effort availability of the online library and account services. There is no SLA in beta. We aim for boring uptime and will tell you when we miss.
  • Reasonable security, in line with Cloudflare's posture for the hosting and storage layer.
  • Transparent billing. You see what you owe before you owe it; you get a receipt for every charge.
  • Honest communication when something breaks or changes.

The library

The library, its entries, their descriptions, relationships, rankings, and the research behind them are our proprietary work. Your subscription licenses you to use what the tool delivers to your machines for your own products, including after your subscription ends. It does not license you to scrape, bulk-export, resell, or redistribute the library or the online service, or to build a competing library from it. Helpers written into your repositories are yours to keep and modify. Entries drawn from third parties carry their own licences, which the entry names.

Usage signals and contributions

Unless you turn sharing off, the tool sends us usage signals: which library entries your walk selected, their versions, and whether the work they were selected for succeeded. Signals never include your code, PRDs, tickets, evidence, decisions, or any material you keep on your machines. You can turn signals off during setup or in Atlas.

There is one library, and you can add to it. Everything in it is shared: a skill, an agent, or a piece of reference material you contribute becomes part of the library and may be used in other customers' efforts within the service. Like the rest of the library, contributions are never openly published: they are delivered only to subscribers, as part of their work, and anything delivered to a subscriber's machine is readable by that subscriber. We encourage contributions; they are how the library gets better.

The library holds no private material. Anything you want to keep private, such as internal coding standards, specifications, or reference documents, stays on your machines. You can hand it to your AI tool yourself and insist it be used in particular parts of your work; the tool and Atlas will not do that for you, because they select and prescribe from the library only. Material you never contribute is never sent to us.

By contributing an item you confirm that you have the right to share it and that it contains nothing confidential and nothing that belongs to someone else, and you grant us a non-exclusive, worldwide, royalty-free licence to store, evaluate, test, adapt, and distribute it within the service. We may evaluate contributed items, and the usage signals about them, for quality, safety, and fit, including with automated tools and AI models, and use what we learn to improve the library and the service. Contributions remain in the library after your subscription ends; you may ask us to remove specific material and we will handle the request case by case, as described in the privacy policy.

Open-source material

Much of the library is collected from open-source projects. Every entry records its licence and its authors, helpers delivered to your repositories carry the notices those licences require, and we acknowledge the original work consistent with its licence. If you find an entry whose attribution is missing or wrong, tell us and we will fix it.

Acceptable use

You agree not to use dpf to:

  • Produce or distribute malware, spyware, or similar.
  • Build products intended to violate applicable law, infringe intellectual property, or harm third parties.
  • Scrape, bulk-export, or redistribute the library, or probe the service for proprietary structure beyond what we publish.
  • Bypass billing, share one seat between several people or one account across organizations, or otherwise abuse the subscription.
  • Interfere with the service or the infrastructure it runs on.

Beta-phase terms

  • The service may break. Features may change without notice.
  • Refunds are at our discretion. We are generous about it; we do not promise it.
  • We may terminate access for any account that violates these terms, or for any reason during the beta with a reasonable attempt at notice.

Liability

dpf is provided as-is, without warranty of any kind. The library is a curated collection of tools and practices, not a guarantee that any of them fits your product or that work done with them is correct. Our total liability for any claim arising from your use of the service is capped at the amount you have paid us in the twelve months prior to the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

You retain full responsibility for code merged into your repositories, for products built with the service, and for anything you deploy to your systems or ship to your customers.

Termination

Either side can end the relationship at any time. When it ends, online library access ends and the work already delivered to your machines stays yours, as described under Subscription and billing. You can export the account data we hold on the way out (see privacy). We delete account records ninety days after cancellation unless law or active billing requires otherwise. Contributions remain in the library unless you ask for their removal.

Changes to these terms

We will email active customers about material changes at least thirty days before they take effect. Continued use of the service after the effective date constitutes acceptance. If you do not agree, cancel before the effective date and we will honor the export-and-delete process described above.

Governing law

These terms are governed by the laws of the United States. Disputes will be resolved in the courts that have jurisdiction over our principal place of business.
